Corporate Governance, Stock Exchanges And The Role Of Law; A Country Review: Turkey

Promoting stock exchanges is the new aim of countries all over the world. This paper is based on the claim that stock exchanges are good for economic growth and examines the role of law in this task by way of first looking at the past to find out whether the law has mattered, and then investigating the future role of law for developed and developing countries without strong stock exchanges. The study found that despite the law having not mattered in the past, and possibly not playing a major role for already developed economies with strong path dependent corporate governance systems, it might play an important role for developing countries in the development of stock exchanges. Especially, the regulations regarding key aspects of corporate governance for ensuring investor confidence and a well operating fair market, which are transferability of shares, transparency and preventing market abuse, plays an important role, and the focus should be on them. Within a framework of these three topics, the study explores Turkish regulations and assesses current developments in the country.

Borsaların gelişimini sağlamak, tüm dünyada ülkelerin yeni amacını teşkil etmektedir. Bu çalışma borsaların gelişiminin ekonomik büyüme için yararlı olduğu varsayımı üzerine kurulu olup, önce geçmişte borsaların gelişiminde hukukun rolünün olup olmadığı incelenmekte, ilerleyen bölümlerde güçlü borsalara sahip olmayan ülkelerde borsanın gelişiminde hukukun gelecekte oynayacağı rol, gelişmiş ve gelişmekte olan ülkeler için ayrı ayrı ele alınmaktadır. Çalışma sonucunda geçmişte borsaların gelişiminde hukukun payının olmadığı sonucuna varılmış, gelecekteki rolü açısından değerlendirildiğinde; sahip oldukları izlek bağımlılığı (path dependence) nedeniyle gelişmiş ekonomilerde hukukun büyük bir etkisinin olamayacağını ancak gelişmekte olan ülkelerdeki borsaların gelişiminde büyük bir role sahip olabileceği değerlendirmesine ulaşılmıştır. Özellikle yatırımcı güveninin oluşması ve iyi işleyen adil bir piyasa için kilit bir öneme sahip olan konular olan hisselerin devredilebilirliği, şeffaflık ve piyasa bozucu eylemlere ilişkin kurumsal yönetim düzenlemeleri büyük önem taşımakta olup, borsaların geliştirilmesi için yapılacak hukuki düzenlemelerin odak noktasını bu konular oluşturmalıdır. Çalışma bu çerçevede Türk Hukukundaki düzenlemeleri ve güncel gelişmeleri değerlendirmektedir.

I. INTRODUCTION

When considering global financial systems and corporate structures, it would appear that widely dispersed ownership and strong financial markets are an Anglo-Saxon phenomenon that only pertains to the UK and US.

However, over the past few decades, it seems as if countries all over the world, both advanced and developing ones, have had one major aim: to break with this approach and promote and develop stock exchanges.

Recent studies have mostly concentrated on the link between stock exchanges and economic growth, and suggest that stock exchanges are good for the economic growth of a country. Based on this assumption, governments and academics have been trying to find ways of developing stock exchanges and moving towards to a market based system. One of the ways of doing this has famously been alleged to be “the law”, in terms of considering the history of countries that have strong exchanges. This has become a very influential idea and is followed by many countries by radical legal reforms, regardless of the fact that a large amount of academic work criticises this notion.
