The interpretation is particularly important for maintaining uniformity. There is no such legislation, neither national nor international, which is capable of foreseeing all problems to which it might be invoked. Hence, inevitably every piece of legislation leaves some gaps behind. The drafters of CISG that are aware of this problem attempted to avoid different interpretations and enhance uniformity by including Article 7 in the convention. Unfortunately, although there are many tools to enhance the functionality of article 7, such as foreign case law and scholarly writings, lack of cross-border stare decisis doctrine and international Supreme Court pose an obstacle to uniform application.

1. INTRODUCTION

The interpretation is particularly important for maintaining uniformity. There is no such legislation, neither national nor international, which is capable of foreseeing all problems to which it might be invoked. Hence, inevitably every piece of legislation leaves some gaps behind. In the case of domestic statutes, the issue of filling gaps that are left by legislators are not challenging owing to long established principles and interpretation methods. However, situation is much more complicated for an international instrument.1 Involvement of various countries that have different legal systems may result that they inclined to interpret instruments according to their national approaches which impede uniform application of the instrument. Therefore, the drafters of CISG that are aware of this problem attempted to avoid different interpretations and enhance uniformity by including Article 7 in the convention.2

This article implements a mechanism that guides how the convention must be interpreted and applied.3 Paragraph (1) emphasized that in convention’s interpretation, its international character and uniform application and the observance of good faith have to be considered. Paragraph (2) provides courts and tribunals a map about how to deal with ‘questions which are not expressly settled in it.’

The purpose of this paper is to explain the current situation of gap filling and interpretation issues under the CISG. It will become clear by evaluating the approach of the CISG and practical outcomes of this approach together. In order to accomplish this purpose, this paper includes four parts; (1) the guide of interpretation; Article 7(1), (2) principle of good faith, (3) the guide of gap filling Article 7(2) and (4) general principles of the CISG.
